WHAT IS WEDNESDAY: Annual Registration

If you are a business owner then from now until April you will receive a million email notifications from the secretary of state reminding you to file your annual registration. If this is your first year receiving this notice have no fear, we are here to explain the annual registration process and its importance to you.

What is the annual registration?

The annual registration is the yearly filing of your company’s information to the state to record changes in the company regarding its management structure, mailing address, registered agent, etc. The annual registration in Georgia is due by April 1st each year and can be filed as early as January 1st. This deadline varies by state so be sure to check with the secretary of state for your specific state to find the deadline for filing. If you miss the deadline for filing the annual registration you will pay a late fee. This fee varies by state as well.

Why is the annual registration important?

The information provided from your annual registration gives notice of your entity, its owners, and its current contact information. It is important to ensure that your annual registration information is up to date. If you make a mistake on your annual registration filing you will need to file an amended or new annual registration and pay a new filing fee. It is more cost efficient to get it right the first time.

What information do I need to file my annual registration in Georgia?

Limited Liability Company or Limited Partnership

If your business is a LLC, LP, LLP, or LLLP you will need your control number or name of your entity, the name of the person filing the annual registration, a valid email address, the name and address of your registered agent, and the mailing address of your physical office. Please note that your registered agent must have a physical street address in Georgia where an individual can be located in-person on behalf of the company.

Corporation

If your business is a Corporation (including a For Profit Corporation, Non-Profit Corporation, and Professional Corporation) you will need your control number or name of your corporation, the name of the person filing the annual registration, a valid email address, the name and address of your registered agent, the mailing address of your physical office, and the name and address of each officer. Please note that your registered agent must have a physical street address in Georgia where an individual can be located in-person on behalf of the company.
